  • Guiding Zonehaven in its sale to Genasys (NASDAQ: GNSS), the critical communications systems and solutions company. Zonehaven offers a SAAS solution for emergency evacuation and community support,
  • Acting for Flurosat in its acquisition of soil health startup Dagan. Fluorosat is a crop science company. Regrow Agriculture, the combined company formed by the all-stock acquisition, focuses on resilient agriculture solutions.
  • Negotiating strategic investment, commercial and licensing deals for doc.ai Incorporated, a digital health transformation company, with Anthem. Subsequently represented doc.ai in its sale in 2021 to Sharecare. A combination with Falcon Capital Acquisition Corp is pending.
  • For the power project development arm of Hanwha Energy Corp., 174 Power Global, negotiated a joint venture with Total SE. The joint venture aims to develop utility-scale and energy storage projects in North America with cumulative capacity of 1.6 GW.
  • Acted for long-time client Riverwood Capital in the purchase of Forecast5 Analytics and many other attempted buyout deals.
  • Representation, over the past decade, of CBRE Group, Inc. (NYSE: CBG) in myriad acquisitions for property management businesses, regional real estate brokerages, adjacent services and technology platforms including Brenner Real Estate Group, Capstone Financial, CAC Group, Fameco, Floored.com, KLMK Group, Skye Group, UCR, U.S. Equities and several more.
  • Acted for Avnet (NASDAQ: AVT) in acquiring Dragon Innovation and Solaris and in multiple investments in strategic technology businesses.
  • Represented SoftBank Group International in the sale of 99 Taxis to Didi. 99 Taxis was the largest ride sharing platform in Brazil.
  • Guided Juniper Networks, Inc. (NYSE: JNPR) as it acquired Appformix, Aurrion, and Cyphort and additionally represented them as they made other strategic transactions.
  • Acted for Penn National Gaming (NYSE: PENN) as it acquired Rocket Games.
  • Shepherded CheckALT LLC through its acquisitions of Klike Technologies from MUFG Union Bank and ERAS from Diebold (NYSE: DBD).
  • Handled Binatone Global’s acquisition of Motorola Mobility’s companion products business.
  • Represented QA Analytics and CVC in its buyout of Cloud Academy.
  • Advised #bigtech company in a confidential joint venture with a sizable China-based company in an important market-access joint venture for the People’s Republic of China.
  • Represented a white goods company based in China in a China-based white goods company in a consequential People’s Republic of China joint venture with a U.S. industrial manufacturing company, resulting in market access.
  • Acted for one of the largest privately owned conglomerates in China, Sanpower Group Co., Ltd., in its entry into a definitive agreement to acquire Dendreon Pharmaceuticals, Inc., for nearly USD 820 million.
  • Guided Symphony Technology Group and Bond International Software in the acquisition of Erecruit.
  • Represented Tecan Group AG (SIX:  TECN) in the acquisition of SpeWare Corp.
  • Advised Centric Software, a global enterprise SAAS PLM company based in Silicon Valley (backed by venture capital firms Oak Investment Partners and Fung Capital) in the sale of an ownership stake to Dassault Systemes SE, a French public company listed on Euronext Paris, in a cash and stock deal.
  • Represented Docea Power SAS in its sale to Intel (NYSE:  INTC).
  • Advised Kerensen Consulting in its sale to salesforce.com (NYSE:  CRM).
  • Guided Tuplejump from its formation to its subsequent sale.
  • Acted for Stackstorm in its sale to Brocade (now part of Broadcom, NYSE:  BDCM).
  • Guided Adotube during its sale to Exponential Interactive.
  • Represented MetricTest in its sale to Microlease (now part of ElectroRent).
  • In a going-private transaction (recognized by China Business Law Journal as 2012’s Going Private Deal of the Year, represented the special committee of the board of directors of Tongjitang Chinese Medicines, an NYSE-listed public company, in negotiating an agreement and plan of merger with a bidder group led by its chairman and Fosun Industrial.
  • Represented OATH, previously known as AOL LLC, in its acquisitions of Sphere Source, Inc. and Goowy Media Inc.
  • Advised on in leveraged buyouts, growth equity and venture investments for clients CVC, Elevation Partners, Hellman & Friedman, Hony Capital, Riverwood Capital, Silver Lake Partners, Softbank, Symphony Technology Group, and TPG.
  • Guided Credit Suisse as it acted as financial advisor in Heckmann Corp’s de-SPAC transaction with China Water & Drinks.
